How long does offer due diligence take?
Once you submit your complete offer documentation, our Compliance Officer reviews it against the 15-item App. 8.0 checklist. This typically takes 3–5 business days. If documents are missing or require clarification, the timeline may extend. The 5-Business-Day CMA notification clock only starts after we submit to the Authority.
Who needs to complete Form 6?
Every founder, board member, managing partner, executive director, and compliance officer of your company must individually complete and sign Form 6. Upload a signed copy for each person in Section 4 of your company registration. Download the official Arabic form from the Resources panel.
When do I need to post an investor update?
You are required to post a project update at minimum every 6 months from the offer close date. Material developments — such as project delays, significant financial changes, or changes to the exit timeline — must be disclosed to investors immediately, regardless of the regular schedule.
What happens if I miss an update deadline?
If you miss a scheduled update, The Capital will send two reminder notifications. If there is still no response after the second reminder, our compliance team will publish a platform-generated update on your behalf and notify you. Persistent non-compliance may be reported to the CMA.
Can I withdraw a live offer?
A live offer can only be removed in exceptional circumstances and requires Compliance Officer approval and a logged reason. Contact our team immediately if you believe your offer needs to be suspended. Investors will be notified and funds returned by the Subscription Agent within 2 business days.
How do I change or add a Subscription Agent?
Subscription Agents must be CMA-licensed. To change or add an agent, contact your Compliance Officer directly with the new agent's CMA registration details. The change must be reviewed and logged before it takes effect on any live or pending offer.
Where and when do I submit my Form 8 annual report?
Form 8 is submitted through the Reports section of your issuer dashboard. The deadline is typically 6 months after the offer close date as specified in the offer document. Our compliance team will send reminders 30 and 7 days before the deadline.
