As required by CMA Module Nineteen, The Capital maintains a Business Continuity Plan ensuring investor interests are protected in any scenario including platform cessation.
The Capital's Business Continuity Plan addresses four key scenarios: (1) temporary platform outage or technical failure; (2) prolonged platform unavailability; (3) insolvency or voluntary wind-down; and (4) regulatory suspension. In all scenarios, the plan ensures that investor funds, investor communications, and issuer reporting obligations are not disrupted.
Investor funds are held exclusively by independent, CMA-licensed Subscription Agents — not by The Capital. In the event of platform cessation, the SA continues to hold and distribute funds in accordance with the payment schedule for each offer. The SA's obligations to investors survive the termination of The Capital's operations.
In the event of platform cessation, issuers are required to continue their reporting obligations directly to investors and to the CMA Authority. The Capital designates a successor administrator to receive and distribute issuer reports to investors. If no successor is identified, the CMA Authority is notified within 5 Business Days and the Authority will direct the process.
In the event of any material disruption to platform services, investors will be notified by email within 1 Business Day. In the event of platform cessation, investors will be notified at least 30 days in advance where possible, and the CMA Authority will be notified immediately.
All investor records, KYC data, subscription records, and transaction histories are maintained in secure, encrypted off-site backup systems. In the event of platform cessation, this data will be transferred to a CMA-approved custodian and retained for the regulatory minimum of 10 years.
The Capital maintains redundant infrastructure with a Recovery Time Objective (RTO) of 4 hours and Recovery Point Objective (RPO) of 1 hour for all critical systems. Planned maintenance is communicated to users at least 48 hours in advance.
